Service Agreement on E-trading Platform for Inquiry and Bidding of Changan Automobile
长安汽车询价竞价电子交易平台（以下简称“本平台”）依据《长安汽车询价竞价电子交易平台服务协议》（以下简称“本协议”）的规定提供服务，本协议具有合同效力。用户注册时请认真阅读本协议，审阅并接受或不接受本协议。
E-trading Platform for Inquiry and Bidding of Changan Automobile (hereinafter referred to as "the Platform") provides services in accordance with the provisions of Service Agreement on E-trading Platform for Inquiry and Bidding of Changan Automobile (hereinafter referred to as "this Agreement"), which has contractual effect. Please read this Agreement carefully, review and decide to accept it or not when registering.
一、 特别提醒
I. Attention
1、 若您已经注册为本平台用户，即表示您已充分阅读、理解并同意与本平台订立本协议，且您自愿受本协议的条款约束。本协议的个别条款可能会根据业务需要不时地进行调整并在本平台上予以公布。经修订的条款一经在本平台的公布后，立即自动生效。若您继续使用、接受本平台的服务，视为您已充分阅读、理解并接受修改后的协议内容；如您不同意相关变更，您有权停止使用本平台的服务。
1. If you have registered as a user of the Platform, it means that you have fully read, understood and agreed to enter into this Agreement with the Platform, and you are voluntarily bound by the terms hereof. The individual terms of this Agreement may be adjusted from time to time according to business needs and published on the Platform. The revised provisions shall automatically become effective upon publication on the Platform. If you continue to use and accept the services of the Platform, it shall be deemed that you have fully read, understood and accepted the revised contents of this Agreement; if you disagree with relevant changes, you have the right to stop using the services of the Platform.
2、 本协议内容包括协议正文及所有本平台已经发布或未来可能发布的各类规则。所有规则为本协议不可分割的一部分，与本协议正文具有同等法律效力。
2. The content of this Agreement includes the text of this Agreement and all kinds of rules that have been published or may be published in the future on the Platform. All these rules are an integral part of this Agreement, and shall have the equal legal effect as the text of this Agreement.
二、 用户资格
II. User Qualifications
1、 本平台的用户是根据中国法律、法规、行政规章成立并合法存在的能够承担相应法律责任的法人或其他组织。若您不具备此资格，请不要使用本平台提供的服务。无法人资格的单位或组织与本平台之间的协议自始无效，本平台一经发现，有权立即终止对该用户的服务，并追究其使用本平台服务的一切法律责任。
1. Users of the Platform are legal persons or other organizations established and legally existing according to laws, regulations and administrative rules of China, capable of assuming corresponding legal responsibilities. If you are not qualified, please do not use the services provided by the Platform. The Agreement between the unqualified unit or organization and the Platform is invalid from the beginning. Once found, the Platform has the right to immediately terminate the service for the user and investigate all legal responsibilities for his/her use of services provided by the Platform.
2、 本平台的服务将不提供给那些被临时或永久取消用户资格的法人或其他组织。
2. The services of the Platform will not be provided to legal persons or other organizations that have been temporarily or permanently disqualified.
三、 用户的权利和义务
III. Rights and Obligations of the User
1、 用户有权根据本协议及本平台发布的相关规则，利用本平台发布询价信息、查询用户信息、参与询价报价，参加本平台的有关活动及有权享受本平台提供的其他有关资讯及信息服务。
1. The user has the right to publish inquiry information, inquire user information, participate in inquiry and quotation, participate in relevant activities of the Platform and enjoy other relevant information services provided by the Platform according to this Agreement and relevant rules published by the Platform.
2、 用户须自行负责自己的用户账号和密码，且须对在用户账号密码下发生的所有活动（包括但不限于发布询价信息、网上点击同意各类协议、规则、参与询价报价等）承担责任。用户有权根据需要更改登录密码。因用户的过错导致的任何损失由用户自行承担，该过错包括但不限于：不按照交易提示操作，未及时进行交易操作，遗忘或泄漏密码，密码被他人破解，您使用的计算机被他人侵入等。
2. The user shall be responsible for his/her own user account and password, and shall be liable for all activities (including but not limited to publishing inquiry information, clicking on the Internet to agree to various rules and agreements, participating in inquiry quotation, etc.) under the user account and password. The user has the right to change the login password as required. Any losses caused by the user's fault shall be borne by the user. Such faults include but are not limited to: failure to operate according to transaction prompts, failure to conduct transaction operations in time, forgetting or disclosing passwords, password cracked by others, and intrusion of your computer by others.
3、 用户应当向本平台提供真实、准确、即时、完整的注册信息，包括但不限于真实法人名称、身份证号、联系电话、地址、附件等。同时，用户也应当在相关资料实际变更时及时更新有关注册资料。
3. The user shall provide the Platform with true, accurate, immediate and complete registration information, including but not limited to real legal person name, ID number, contact number, address, attachment, etc. Moreover, the user shall update relevant registration data in a timely manner when relevant data are actually changed.
4、 用户有义务确保在本平台上发布的信息真实、准确，无误导性。
4. The user is obliged to ensure that the information published on the Platform is true, accurate and not misleading.
5、 用户在本平台上发布信息，不得违反国家法律、法规、行政规章的规定、不得侵犯他人知识产权或其他合法权益的信息、不得违背社会公共利益或公共道德、不得违反本平台的相关规定。
5. The user shall not publish information on the Platform in violation of national laws, regulations and administrative rules, infringe others' intellectual property rights or other legitimate rights and interests, violate social public interests or public morals, or violate relevant provisions of the Platform.
6、 用户在本平台采购中应当遵循平等自愿、公平公开、充分竞争、诚实信用、性价比最优的原则，不得以干预或操纵发布信息等不正当竞争方式扰乱网上采购秩序，不得从事与网上采购无关的不当行为。
6. The user shall follow the principles of equality and voluntariness, fairness and openness, full competition, good faith and optimal cost performance in procurement on the Platform. He/She shall not disturb the online procurement order by means of unfair competition such as interference or manipulation of information release, nor engage in improper acts irrelevant to online procurement.
7、 用户不应采取不正当手段（包括但不限于虚假询价、互换好评等方式）提高自身或他人信用度，或采用不正当手段恶意评价其他用户，降低其他用户信用度。
7. The user shall not improve his/her own or others' credit by improper means (including but not limited to false inquiry, exchange of good comments, etc.), or maliciously evaluate other users by improper means to reduce the credit of other users.
8、 用户承诺自己在使用本平台实施的所有行为遵守法律、法规、行政规章和本平台的相关规定以及各种社会公共利益或公共道德。如有违反导致任何法律后果的发生，用户将以自己的名义独立承担相应的法律责任。
8. The user shall promise that all behaviors implemented by himself/herself during the use of the Platform are in compliance with laws, regulations, administrative rules and relevant provisions of the Platform as well as various social public interests or public morals. In case of any legal consequences caused by violation, the user shall be held independently liable in corresponding legal consequences in his/her own name.
9、 未经本平台书面允许，用户不得将本平台的任何资料以及在平台上所展示的任何信息作商业性利用。
9. Without the written permission of the Platform, the user shall not use any materials of the Platform and any information displayed on the Platform for commercial purposes.
10、 用户不得使用以下方式登录或破坏本平台所提供的服务：
10. The user shall not use the following methods to log in or destroy the services provided by the Platform:
（1） 以任何机器人软件、蜘蛛软件、爬虫软件、刷屏软件或其它自动方式访问或登录本平台；
(1) Accessing or logging in to the Platform by any robot software, spider software, crawler software, screen flooding software or other automatic means;
（2） 通过任何方式对本公司内部结构造成或可能造成不合理或不合比例的重大负荷的行为；
(2) Acts which in any way cause or are likely to cause unreasonably or disproportionately significant loads on the internal structure of the Company;
（3） 通过任何方式干扰或试图干扰本平台的正常工作或平台上进行的任何活动。
(3) Interfering or attempting to interfere in any way with the normal operation of the Platform or any activity carried out on it.
11、 用户同意接收来自本平台的信息，包括但不限于询价信息、短信提醒等。
11. The user agrees to receive information from the platform, including but not limited to inquiry information and SMS reminder.
四、 本平台的权利和义务
IV. Rights and Obligations of the Platform
1、 本平台仅为用户提供一个信息交流平台，是采购人发布询价采购信息和供应商提供报价解决方案的一个采购市场，本平台对采购双方均不加以监视或控制，亦不介入采购的过程。
1. The Platform only provides an information exchange platform for users, and is a procurement market where the purchaser releases inquiry procurement information and suppliers provide quotation solutions. the Platform does not monitor or control both parties of the purchase, nor does it involve in the procurement process.
2、 本平台有义务在现有技术水平的基础上努力确保整个网上采购平台的正常运行，尽力避免服务中断或将中断时间限制在最短时间内，保证用户网上采购活动的顺利进行。
2. The Platform is obliged to make efforts to ensure the normal operation of the whole online procurement platform on the basis of the existing technical level, and try its best to avoid service interruption or minimize the interruption duration to ensure the smooth progress of users' online procurement activities.
3、 本平台有义务对用户在注册使用本平台中所遇到的与采购或注册有关的问题及时作出回复。
3. The Platform is obliged to reply in a timely manner to the problems related to procurement or registration encountered by users during their registration and use of the Platform.
4、 本平台有权对用户的注册资料进行审查，对存在任何问题或怀疑的注册资料，本平台有权发出通知询问用户并要求用户做出解释、改正。
4. The Platform has the right to review the user's registration data. For any defective or doubted registration data, the Platform has the right to send a notice to inquire the user and ask the user to explain and correct it.
5、 因网上信息平台的特殊性，本平台没有义务对所有用户的采购行为以及与采购有关的其他事项进行事先审查，但如发生以下情形，本平台有权无需征得用户的同意限制用户的活动、向用户核实有关资料、发出警告通知、暂时中止、无限期中止及拒绝向该用户提供服务：
5. Due to the particularity of the online information platform, the Platform is not obliged to review all users' procurement behaviors and other matters related to procurement in advance. However, in case of any of the following circumstances, the Platform has the right to restrict users' activities, verify relevant data with users, issue warning notices, temporarily suspend, indefinitely suspend or refuse to provide services to users without obtaining their consent:
（1） 用户违反本协议或因被提及而纳入本协议的相关规则；
(1) The user is in breach of this Agreement or relevant rules incorporated into this Agreement by reference;
（2） 存在用户或其他第三方通知本平台，认为某个用户或具体采购事项存在违法或不当行为，并提供相关证据，而本平台无法联系到该用户核证或验证该用户向本平台提供的任何资料；
(2) There are users or other third parties who notify the Platform that a user or specific procurement matter is illegal or improper, and provide relevant evidence, but the Platform cannot get in touch with the user for verification or validate any information provided by the user to the Platform;
（3） 存在用户或其他第三方通知本平台，认为某个用户或具体采购事项存在违法或不当行为，并提供相关证据。本平台以普通非专业采购者的知识水平标准对相关内容进行判别，可以明显认为这些内容或行为可能对本平台用户或本平台造成财务损失或法律责任。
(3) There are users or other third parties who notify the Platform that a user or specific procurement matter is illegal or improper, and provide relevant evidence. The Platform judges the relevant content according to the knowledge level standard of ordinary non-professional purchasers, and it can be considered that these contents or behaviors may cause financial losses or legal liabilities to users of the Platform or the Platform.
6、 根据国家法律、法规、行政规章规定、本协议的内容和本平台所掌握的事实依据，可以认定该用户存在违法或违反本协议行为以及在本平台上的其他不当行为，本平台有权无需征得用户的同意在本平台及所在平台上以网络发布形式公布该用户的违法行为，并有权随时作出删除相关信息、终止服务提供等处理。
6. According to the provisions of national laws, regulations and administrative rules, the contents of this Agreement and the factual basis mastered by the Platform, it can be deemed that the user has illegal acts or violations of this Agreement and other improper acts on the Platform. The Platform has the right to publish the user's illegal acts in the form of online publication on the Platform and its platform without the consent of the user, and has the right to delete relevant information and terminate service provision at any time.
7、 本平台有权在不通知用户的前提下，删除或采取其他限制性措施处理下列信息：包括但不限于以规避费用为目的；以炒作信用为目的；存在欺诈等恶意或虚假内容；与网上采购无关或不是以采购为目的；存在恶意竞价或其他试图扰乱正常采购秩序因素；违反公共利益或可能严重损害本平台和其他用户合法利益。
7. The Platform has the right to delete or take other restrictive measures to process the following information without notifying users: including but not limited to for the purpose of avoiding expenses; for the purpose of hyping credit; with malicious or false contents such as fraud; irrelevant to online procurement or not for the purpose of procurement; with malicious bidding or other factors trying to disrupt normal procurement order; violating public interests or possibly seriously damaging the legitimate interests of the Platform and other users.
五、 服务的中止和终止
V. Suspension and Termination of Services
1、 用户存在以下行为，本平台有权在告知或未经告知的情况下中止或终止相关服务或者拒绝其以任何形式使用本平台，并不因此承担任何责任，且保留追究您法律责任的权利：
1. If a user commits any of the following acts, the Platform has the right to suspend or terminate relevant services without notice or refuse his/her use of the Platform in any form without bearing any responsibility for this, and reserves the right to investigate your legal responsibilities:
（1） 利用本平台进行违法、违纪或违反本协议规定的活动；
(1) Use the Platform to carry out activities that violate laws, disciplines or provisions of this Agreement;
（2） 本平台发现用户提供的信息不真实、不准确、不完整；
(2) The Platform finds that the information provided by the user is untrue, inaccurate and incomplete;
（3） 利用本平台滥发重复信息或者发布与本平台服务无关的信息；
(3) Use the Platform to spam or publish information unrelated to the services of the Platform;
（4） 冒用他人的名义发布信息；
(4) Release information in the name of others;
（5） 使用或提供含有毁坏、干扰、截取或侵占任何系统、数据或个人资料的任何电脑病毒、伪装破坏程序、电脑蠕虫、定时程序炸弹或其他破坏性程序；
(5) Use or provide any computer virus, camouflage vandalism program, computer worm, timer bomb or other disruptive program containing destruction, interference with, interception of or encroachment upon any system, data or personal information;
（6） 盗用他人在本平台上的登录名或密码；
(6) Embezzle others' login names or passwords on the Platform;
（7） 其他本平台认为需终止服务的情况。
(7) Other circumstances where the Platform considers that it is necessary to terminate the service.
2、 若用户申请终止本平台服务，需经本平台审核同意，方可解除与本平台的协议关系，但本平台仍保留下列权利：
2. If the user applies for termination of services on the Platform, the agreement relationship with the Platform can be terminated only after being reviewed and approved by the Platform. However, the Platform still reserves the following rights:
（1） 本平台有权在法律、法规、行政规章规定的时间内保留该用户的资料，包括但不限于以前的用户资料、交易记录等；
(1) The Platform has the right to retain the user's data within the time specified by laws, regulations and administrative rules, including but not limited to previous user data and transaction records;
（2） 若终止服务之前，该用户在本平台上存在违法行为或违反本协议的行为，本平台仍可行使本协议所规定的权利。
(2) If the user has illegal acts or violates this Agreement on the Platform before terminating the service, the Platform can still exercise the rights set forth in this Agreement.
六、 本平台的责任范围
VI. Scope of Responsibility of the Platform
1、 本平台将尽力核查用户提交的信息，并依照有关法律法规以及平台管理规则进行审核、发布或删除用户提交的信息，但不能完全保证信息的真实性、准确性和合法性。
1. The Platform will try its best to check the information submitted by users, and review, publish or delete the information submitted by users in accordance with relevant laws and regulations and platform management rules, but cannot fully guarantee the authenticity, accuracy and legality of the information.
2、 本平台不保证网站是不受干扰的、没有故障的，也不对使用效果做任何保证。、本平台不对因人为或非人为因素造成的用户与本平台服务器之间的连接受阻而无法访问负责。您同意独立承担因网站意外中断、操作或传输的迟延、电脑病毒、网络连接故障、未经授权的进入等引起的损失。
2. The Platform does not guarantee that the website is undisturbed and fault-free, nor does it make any guarantee for the use effect. The Platform is not responsible for the failure of access due to blocked connection between users and the platform server caused by human or non-human factors. You agree to independently bear the losses caused by unexpected interruption of website, delay in operation or transmission, computer viruses, network connection failure and unauthorized access.
3、 本平台将尽最大努力来减少错误，但网站上提供的服务和信息仍可能包含错误内容，本平台对用户因使用网站而造成的损失不负法律责任。本平台对其服务和信息不作保证，不论什么情况下对用户因使用网站而造成的直接、间接、偶尔的、特殊的、惩罚性的损害或其他一切损害不负法律责任，即便事先被告知损害存在的可能性也是如此。若您对本平台提供的部分或所有服务不满，您有权停止使用这些服务。
3. The Platform will try its best to reduce errors, but the services and information provided on the website may still contain incorrect contents. The Platform is not liable for losses caused by users' use of the website. The Platform does not guarantee its services and information, and will not be liable for direct, indirect, occasional, special, punitive damages or all other damages caused by users' use of the website under any circumstances, even if they are informed of the possibility of damage in advance. If you are not satisfied with some or all of the services provided by the Platform, you have the right to stop using these services.
4、 对由于用户在使用本平台的过程中，违反本协议或通过提及而纳入本协议的条款和规则或用户违反任何法律或第三方的权利而产生或引起的任何索赔、要求、诉讼、损失和损害而言，无论是直接或间接的，包括合理的律师费，用户同意就此对本平台及权利人进行补偿并使其免受损害。
4. The user agrees to indemnify and hold harmless the Platform and its obligees from any claims, demands, lawsuits, losses and damages, whether direct or indirect, including reasonable attorney fees, arising out of or resulting from the user's violation of this Agreement or the terms and rules incorporated into this Agreement by reference during his/her use of the Platform, or the user's violation of any law or rights of a third party.
5、 本平台无法保证用户所公布的信息的真实性、及时性、安全性和正确性，您应独立承担因使用本平台而产生的风险。本平台希望您在使用网站时，小心谨慎并运用常识。
5. The Platform cannot guarantee the authenticity, timeliness, security and correctness of the information published by users. You shall independently bear the risks arising from using the Platform. The Platform expects you to be careful and use common sense when using the website.
6、 本平台含有与其他网站或资源的链接，并不能控制这些网站及其所提供的资源，所以本平台对链接网站上的内容、广告、服务、产品信息的真实性、准确性、完整性及有效性不做任何承诺，且不因此承担任何责任。
6. The Platform contains links with other websites or resources and cannot control these websites and the resources provided by them. Therefore, the Platform makes no commitment to the authenticity, accuracy, completeness and validity of the contents, advertisements, services and product information on the linked websites, and will not assume any responsibility for this.
七、 知识产权
VII. Intellectual Property
1、 本平台上所有内容，包括但不限于产品、资讯、图片、档案、资料、网站构架、网站版面的安排、网页设计，均由本平台及权利人依法享有相应的知识产权，包括但不限于著作权、商标权、专利权或其它专属权利等，受到相关法律的保护。
1. All contents on the Platform, including but not limited to products, information, pictures, files, materials, website framework, website layout arrangement and web page design, shall be protected by relevant laws. The Platform and its obligees enjoy corresponding intellectual property rights according to law, including but not limited to copyright, trademark right, patent right or other exclusive rights.
2、 未经本平台或权利人明示授权，任何人不得擅自使用、修改、复制、公开传播、改变、散布、发行或公开发表本平台程序或内容。
2. No one is allowed to use, modify, copy, publicly disseminate, change, distribute, release or publicly publish the program or content of the Platform without the express authorization of the Platform or its obligees.
八、 隐私权
VIII. Privacy
1、 信息使用：
1. Use of information:
（1） 本平台不会向任何人出售或出借用户的个人或法人信息，除非事先得到用户许可；
(1) The Platform will not sell or lend the user's personal or legal person information to anyone unless the user permissions are obtained in advance;
（2） 本平台亦不允许任何第三方以任何手段收集、编辑、出售或者无偿传播用户的个人或法人信息。任何用户如从事上述活动，一经发现，本平台有权立即终止与该用户的服务协议，查封其账号。
(2) The Platform disallows any third party to acquire, edit, sell or disseminate the user's personal or legal person information free of charge by any means either. Once any user is found to be engaged in the above activities, the Platform has the right to immediately terminate the service agreement with the user and seize his/her account.
2、 我们对您的信息承担保密义务，我们会在下列情况下才将您的信息向第三方披露：
2. We undertake confidentiality obligations for your information, and we will disclose your information to a third party only under the following circumstances:
（1） 获得用户的同意或授权；
(1) The user's consent or authorization is obtained;
（2） 根据法律的有关规定或者行政、司法机关的要求；
(2) According to the relevant provisions of laws or the requirements of administrative and judicial organs;
（3） 若用户出现违反中国有关法律或者平台规定的情况，需要向第三方披露；
(3) Needing to disclose users’ information to a third party if users violate relevant Chinese laws or regulations of the Platform;
（4） 为提供你所要求的产品和服务，而必须和第三方分享用户的个人或法人信息；
(4) In order to provide the products and services required by you, it is necessary to share personal or legal person information of users with third parties;
（5） 其它根据法律或者本平台规定认为合适的披露。
(5) Other disclosures deemed appropriate according to laws or the regulations of the Platform.
3、 信息安全：

（1） 在使用本平台服务进行网上采购时，请用户妥善保护自己的个人或法人信息，仅在必要的情形下向他人提供；
(1) When using the Platform's services for online procurement, the user is requested to properly protect his/her personal or legal person information and provide it to others only when necessary;
（2） 如果用户发现自己的个人或法人信息泄密，尤其是用户账号及密码发生泄露，请用户立即联络本平台客服，以便我们采取相应措施。
(2) If the user finds that his/her personal or legal person information, especially the user account and password, is disclosed, please contact the customer service of the Platform immediately so that we can take appropriate actions.
九、 不可抗力
IX. Force Majeure
因不可抗力或者其他意外事件，使得本协议的履行不可能、不必要或者无意义的，双方均不承担责任。本合同所称之不可抗力意指不能预见、不能避免并不能克服的客观情况，包括但不限于战争、台风、水灾、火灾、雷击或地震、罢工、暴动、法定疾病、黑客攻击、网络病毒、电信部门技术管制、政府行为或任何其它自然或人为造成的灾难等客观情况。
Neither party shall assume any liability where the performance of this Agreement becomes impossible, unnecessary, or meaningless because of force majeure or other unexpected events. Force majeure mentioned in the Contract refers to unforeseeable, unavoidable and insurmountable objective circumstances, including but not limited to wars, typhoons, floods, fires, lightning strikes or earthquakes, strikes, riots, statutory diseases, hacker attacks, network viruses, technical control of telecommunication departments, government actions or any other natural or man-made disasters.
十、 保密
X. Confidentiality
双方保证在对讨论、签订、执行本协议中所获悉的属于对方的且无法自公开渠道获得的文件及资料（包括但不限于商业秘密、公司计划、运营活动、财务信息、技术信息、经营信息及其他商业秘密）予以保密。未经该资料和文件的原提供方同意，另一方不得向第三方泄露该商业秘密的全部或者部分内容。但法律、法规、行政规章另有规定或者双方另有约定的除外。
The Parties shall keep confidential all document and data (including but not limited to business secret, company plan, operating activities, financial information, technical information, management information and other commercial information) that belong to the opposite party and cannot be obtained through public channels but obtained during the discussion, signing, and implementation of this Agreement. Without the consent of the original providers of the said data and documents, neither party shall disclose all or part of the said data and documents to a third party. Exceptions can be made if there are provisions in laws, regulations, administrative rules, or agreements made by the Parties.
十一、 交易纠纷解决方式
XI. Settlement of Transaction Disputes
本协议及其规则的有效性、履行和与本协议及其规则效力有关的所有事宜，将受中华人民共和国法律管辖，任何争议仅适用中华人民共和国法律。
The validity and performance of this Agreement and its rules and all matters related to the validity of this Agreement and its rules shall be governed by the laws of the People's Republic of China. Any dispute shall be governed only by the laws of the People's Republic of China.
十二、 完整协议
XII. Entire Agreement
本协议由本协议条款与其他平台管理规则等本平台公示的各项规则组成，相关名词可互相引用参照，如有不同理解，以本协议条款为准。
This Agreement consists of the terms hereof and other platform management rules and other rules published by the Platform. Relevant terminology can be cross-referenced. In case of different understandings, the terms hereof shall prevail.
您对本协议理解和认同，您即对本协议所有组成部分的内容理解并认同，一旦您使用本平台服务，您和本公司即受本协议所有组成部分的约束。
Your understanding and recognition of this Agreement means that you understand and recognize the contents of all components of this Agreement. Once you use the Platform's services, you and our company will be bound by all components of this Agreement.
十三、 本平台对本服务协议包括基于本服务协议制定的各项规则拥有最终解释权。
